Terms and Conditions of Service

Please read these Terms and Conditions ("Terms") carefully before using the Synara Connect platform (the "Service") operated by Synara Connect, Inc. ("we," "us" or "our"). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms.

1. Definitions

"Account" means an individual user profile registered on the Service.

"Authorized User" means any employee, contractor or agent of Customer who is authorized by Customer to use the Service.

"Customer" or "you" means any legal entity or individual that registers for an Account with the Service.

"Content" means any data, text, files, links, images, or other materials you upload to or transmit via the Service.

"Documentation" means the user manuals, technical specifications, and other documentation made available by us that describe the features, functionalities, and use of the Service.

"Permitted Uses" means those uses of the Service which are expressly authorized under these Terms.

2. Acceptance of Terms

By registering for an Account, clicking "I Agree," accessing or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy (available at the Help Center). If you do not agree, you must not access or use the Service.

3. Changes to the Terms

We may modify these Terms at any time by posting updated terms on our website. If we make material changes, we will provide notice (e.g., via email or in‑Service notification). Your continued use of the Service after such notice constitutes acceptance of the new Terms.

4. Services Provided

Core Communications Modules

WhatsApp Integration: Send and receive WhatsApp messages via the WhatsApp Business API.

Telephony (Voice Calls): Place and receive cloud‑based voice calls over SIP/TLS/SRTP.

SMS/MMS Messaging: Send and receive SMS and MMS messages.

Collaboration & Task Management

Team Collaboration Module: Create, assign, and track tasks; share files; comment in real time.

Multilingual Support: Interface and messaging in multiple languages.

Analytics & Reporting

Usage metrics, message and call logs, performance dashboards.

5. Account Registration & Security

You must provide accurate, complete registration information.

You are responsible for maintaining the confidentiality of your login credentials.

You shall immediately notify us of any unauthorized use of your Account.

6. Fees, Billing & Payment

Subscription Plans: We offer a variety of plans (e.g., Basic, Pro, Enterprise). Plan features, seat counts, usage limits, and pricing are described on our Pricing page.

Payment Terms: All fees are payable in advance, monthly or annually as specified. Payments are non‑refundable except as required by law.

Taxes: You are responsible for all applicable taxes imposed on payments.

7. Permitted Uses & Restrictions

Permitted Uses:

Using the Service to communicate with your own customers and authorized contacts.

Storing and archiving your own Content.

Prohibited Conduct:

Sending unsolicited bulk commercial messages ("spam").

Violating any applicable laws or regulations (e.g., TCPA, GDPR).

Attempting to reverse‑engineer or circumvent security features.

Interfering with or disrupting the Service or servers.

8. Intellectual Property

Ownership by Syrana Connect: We retain all rights, title, and interest in and to the Service, Documentation, software, APIs, trademarks, and any modifications or enhancements thereto.

Your Content: You retain ownership of all Content you upload or transmit. You grant us a worldwide, royalty‑free license to use, copy, and display your Content solely to provide and improve the Service.

9. Third‑Party Services & Integrations

The Service may integrate with third‑party applications (e.g., Twilio, Telnyx, 3CX). Use of such services is subject to their own terms and privacy policies. We are not responsible for third‑party platforms.

10. Privacy & Data Protection

By using the Service, you consent to our collection and use of your personal data as described in our Privacy Policy. You are responsible for obtaining any necessary consents from your end users.

11. Support & Service Levels

Support: We provide email and chat support during published Support hours.

Uptime Commitment: We strive for 99.9% availability, excluding scheduled maintenance.

12. Term & Termination

Term: Your subscription remains in effect until terminated.

Termination for Convenience: You may cancel at any time, effective at the end of your current billing period.

Termination for Cause: We may suspend or terminate your Account if you breach these Terms, fail to pay fees, or engage in prohibited conduct.

Effect of Termination: Upon termination, your right to use the Service ceases. We may delete or archive your Content in accordance with our Data Retention Policy.

13. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYRANA CONNECT'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

15. Indemnification

You agree to indemnify, defend, and hold harmless Syrana Connect and its officers, directors, employees, and agents from and against any third‑party claims, liabilities, damages, losses, or expenses arising from (a) your breach of these Terms; (b) your use of the Service; or (c) any Content you upload or transmit.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in Wilmington, Delaware, under the rules of the American Arbitration Association.

17. Confidentiality

Each party agrees to keep the other's confidential information in strict confidence and only use it to exercise its rights and perform its obligations.

18. Force Majeure

Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, strikes, or Internet disruptions.

19. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms at our discretion.

20. Severability

If any provision of these Terms is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force.

21. Entire Agreement

These Terms, together with the Privacy Policy and any order forms or addenda, constitute the entire agreement between you and Syrana Connect and supersede all prior agreements.
